The Employee, a consultant, having agreed to take up an on-site assignment with a Women of the World Corporation, LLC (Corporation, LLC) customer do hereby confirm that, such services will be provided by the employee to  Corporation, LLC or  Corporation, LLC’s customer or their client subject to the following terms and conditions as set forth in this “Employee Agreement” failing which employee unconditionally agrees for  Corporation, LLC to take legal action, as deemed necessary, and further employee agrees to pay  Corporation, LLC for all the damages including attorney fees as a result of the employee not providing consulting services to  Corporation, LLC or  Corporation, LLC’s customer or their client for the duration of the project, and to the complete satisfaction of the customer, as set forth by this agreement.


EMPLOYMENT AGREEMENT

1.     The Employee, upon his/her own consent, agrees to provide consulting services starting on the day of assignment excepting for sickness or emergency at agreed compensation as per employment offer letter provided you inform your  Corporation Account Executive. In addition he/she agrees to provide services as necessary, in order to meet the schedule deadlines as required by the customer.

2.     While on assignment the employee agrees to travel for business purpose, as required by  Corporation, LLC or  Corporation, LLC customer as often as necessary.

3.     The Employee will protect the proprietary information, including compensation, that he/she will have access to, belonging to both  Corporation, LLC and their customer to whom he/she is assigned to, during the course of the project and further, he/she agrees not to divulge such information to anybody at any time, even after the project completion.

4.     The Employee agrees to transfer and assign the entire right, title and interest in all copy rights, patents, and trademarks, together with all rights to apply therefore, and all know-how created or developed by him/her at the direction of  Corporation, LLC customer or their customer, to whom he/she is assigned to and to execute such further documents as may be requested by  Corporation, LLC’s customer or their customer.  Employee agrees that all computer programs and/or products created for use by  Corporation, LLC or it's client during the course of employment by  Corporation, LLC shall be considered "Works Made For Hire" and all rights to said Works are vested in  Corporation, LLC or it’s client.

5.     The Employee agrees that he/she will stay for the entire duration of the project and complete the assignment to the satisfaction of the  Corporation, LLC’s customer or their client, failing which he/she unconditionally agrees to pay 100% of costs incurred by  Corporation, LLC for loss incurred due to loss of business, costs associated with the non-compliance of this agreement and any expenses incurred on the consultant by  Corporation, LLC.  The term project duration is defined as the contract between  Corporation, LLC and its Clients for the employee and periodic extensions and amendments thereof communicated to the employee for each and every Project/assignment. The Employee has a right to terminate the employment by giving two weeks notice if such termination is after completion of the contract assignment and awaiting a new contract assignment.    Corporation, LLC however, reserves the right to terminate the agreement anytime with or without notice. Employee must hand over the work and responsibility properly to  Corporation, LLC or its Client and must submit their completed timesheet to our office on or before last day of employment.
6.     The Employee agrees to maintain professional standards, comply with the dress code and all rules and policies of the company that he/she assigned to.

7.     The Employee agrees not to hold  Corporation, LLC or its customers and their clients responsible for any claims, contract, agreements and any other legal matters as a result of his/her dealings with any third party, other than  Corporation, LLC.

8.     For a period of twelve (12) months following the project completion date or during the project, the Employee unconditionally agrees not to deal directly, indirectly, or by any other means or accept temporary or permanent employment, either individually or in association with another individual or organization, with the  Corporation, LLC customer or their client, to whom he/she is assigned for an on-site consulting project which he/she agrees unconditionally reimburse  Corporation, LLC a finding fee and loss of business to be determined by an arbitrator in Allegheny County, Pennsylvania.

9.      Corporation, LLC at any time may terminate Employee immediately and without prior written notice to Employee if the Employee is dismissed by  Corporation, LLC or  Corporation, LLC’s Client where Employee is assigned or is found guilty of serious mis-conduct in connection with performance or materially breaches provisions of this agreement.
