Dear Mr. Vaidhya,

Further to our letter of appointment  we are pleased to confirm your services as Sr. Officer – Designing in the grade M 2 with effect from July 1, 2005 on the following terms and conditions.        

1.         Salary & Benefits 
       
You will be paid the salary and benefits, the details of which are highlighted in Annexure-1 to this letter.

2.         Attendance

It will be mandatory for you to go by the electronic attendance system for punching in & out time. In event of your failure to compliance with the same you will be liable to proportionate deduction from your earnings and/or due disciplinary action.
 
3.         Exclusive Contract

You will devote your whole time and attention exclusively to the duties entrusted to you and you will not engage yourself or work for any other person or company in any capacity whatsoever, not do any private business without  obtaining previous permission from the company in writing.

4.    Secrecy

You will not at any time without the consent in writing of the company during the term of your service with the company or after the termination of service by notice, discharge, or otherwise, make known or divulge in any manner whatsoever any information which while in the service of the company or of its parent or any subsidiary or associated companies, you have acquired as secret information concerning the technical processes, patents, transactions, finances or affairs of any of the aforementioned companies.  In addition, you shall be bound by the decision of the company in regard to publications written or otherwise, of any work with which you may be associated.  It is, however, mutually agreed that this undertaking shall in no way affect your right to make use of the general knowledge and skill, which you have acquired in the services of the company or of its parent or any subsidiary or associated companies.

5.         Transferability

You are liable to be transferred to any department or branch at any place in India or abroad, where the company has or may have its office/business.   You are also liable to   be transferred to any of the associated company or anywhere in India.  On such transfers, you will be governed by the terms and conditions, and rules and regulations etc., which are applicable to your category at the place of transfer.

6.         Salary Review

Your salary will be reviewed periodically as per the policy of   the company.   Your increments in the salary   are discretionary and will be subject to and on the basis of effective performance and results during the period.

7.         Retirement

On attaining the age of 60 years, you are liable to be superannuated / retired from the services of the company. The Management may at its discretion, extend your service period. 
   
You will not, under any circumstances, ask for any change, favorable to you, in your date of birth, recorded by the company at the time of your appointment on the basis of the statements and documents submitted by you.

8.         Notice of Termination

a)    On your being confirmed in our service, in the event of termination of your services by the Management or resignation by you, either party will required to give two month’s notice or salary in lieu of notice and either party is not bound to give reasons therefore.

b) Upon the termination of your employment or resignation, you will return all papers and documents of the company which may at that time be in your possession relating to the business or affairs of the company or any of its associates and you will not retain any copies of extracts therefore. You will also return any property of the company in your possession.

9.         Change in Address

Any change in your residential address should be notified in writing forthwith to the company.  All communications will be addressed to you on the last
Address notified by you and it will be presumed that you have received such communications addressed to you.

10.       Documentary Evidence

You may be required to furnish documentary proof of the facts mentioned by you in your application form and non-compliance with such a demand or detection of any discrepancy therein shall render you liable to be removed from the service without any notice or pay in lieu thereof.




11.       Retirement Benefits

            You will be a member of Provident Fund Scheme and Gratuity Scheme as may be applicable to you in accordance with the Company's Rules.

12.       Medical Benefits

You will be entitled to medical benefits subject to the production of voucher / bill as per the annexure annum with effect from the date of appointment. In the event of your getting covered under ESI Act or any other state or Central Act of similar nature at any time in future, you will cease to get benefit of medical expenses. However if you do not cross the Income tax limit the said allowance will be paid to you on monthly basis without production of Bill

13..      Leave Travel Allowance

You will be entitled for LTA to the extent of amount mentioned in Annexure I, per year with effect from the date of joining as per the Company’s Rules, as and when you proceed on privilege leave after completing one-year service. It is further agreed that if owing to the exigencies of the business it is found impracticable to permit you to proceed on leave, such leave shall be granted as soon as practicable.

14..      Business Interest

If you or   your dependent   family   members   have   a financial / gainful interest in any business firm and such  a firm  proposes to do the business with the company,  then  it would  be  obligatory  on  your  part   to  make  a   written declaration  to  this effect to the company  and  obtain  its prior approval before any business deal is entered into. You will not, while in the Company’s service, interest or engage yourself in any other business without written permission of the Company.


15.       Training/ Visit Abroad

Whenever required by the Management, you will  be liable to go outside India for the purpose of work and / or training and you will be liable to remain outside India for such period as may be determined by the Management. On
such Occasion, you will be liable to enter into Bond / Agreement as may be required by the Management.
In case you resign from your services before completion of one year after attending any training programme within or outside India, then all the expenses incurred by the Company will be recovered from your final settlement.

17.       General
a)   You  shall  diligently, faithfully and to the  best  of  your ability serve the company, use your best endeavor to promote the interests of the company and perform all duties that  may be entrusted to you from time to time and for the performance of all such duties, use all the knowledge, skill,  experience which you possess to the entire satisfaction of the Management and work extra hours if job so requires.
b)   You  agree to abide by the office / factory timings. Your timings of work will be fixed by the company from time to time.
c)  You  will  be  governed and abide by the  Company’s service  Rules  and Regulations that are in force and will be introduced / amended from time to time.
d) The service conditions  mentioned in this  letter such as appointment, confirmation, increment, transfers, etc. are not subject  to any other amendments unless communicated by the undersigned or any other authorized officer from the head office, in writing.
e)    If your recruitment is through a consultant and you leave within a year then the service charges paid to the consultant will be recovered from your final settlement.
If you are agreeable to accept the appointment on the above terms  and  conditions,  please sign and  return  to  us  the attached  copy of this letter in confirmation of your  having read  understood  and accepted the employment  on  the  above terms.

Dear Mr. Muttalwar,

Further to our letter dated March 13, 2004 we are pleased to confirm your services as Officer – Dyeing in the grade M 1 with effect from Match 1, 2005 on the following terms and conditions.        

1.         Salary & Benefits 
       
You will be paid the salary and benefits, the details of which are highlighted in Annexure-1 to this letter.

2.         Attendance

Further to our letter dated November 4, 2003 we are pleased to confirm your services as Officer – QCS in the grade M 1 with effect from February 1,2005 on the following terms and conditions.
